Terms of Service (Terms and Conditions)
1. Introduction
These Terms of Service (Terms) govern your access to and use of the Uplauz platform, including mobile applications, websites, APIs, microsites, and related services (collectively the Platform) operated by Uplauz India Private Limited (Uplauz, we, us, our). By registering, accessing, or using the Platform you agree to be bound by these Terms. If you do not agree to these Terms do not access or use the Platform.
2. Definitions

Platform means the Uplauz website, mobile apps, APIs, and any services made available by Uplauz.

User means any person who accesses or uses the Platform, including Artists and Audience.

Artist means any User who lists, advertises, performs, streams or receives payments through the Platform.

Audience means any User who browses, requests songs, purchases tickets, tips, or interacts with Artists via the Platform.

Content means any text, images, audio, video, setlists, metadata and other material uploaded or posted by Users.
3. Eligibility

You must be at least 18 years old to create an account. Users aged below 18 years may use the Platform only with verifiable parental/guardian consent.

Artists represent and warrant they have full legal capacity and authority to perform, to accept payments, and to license the relevant rights in the Content they upload.

By registering you confirm all information provided is accurate and up to date.
4. Account Creation and Access

Each User may maintain one personal account unless otherwise approved by Uplauz.

Artists must provide accurate KYC, identity, tax (PAN) and bank/payment collection details where required for payments and tax compliance.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify Uplauz immediately of any unauthorized use.

Uplauz may suspend or terminate accounts for fraud, violation of these Terms, or illegal or abusive activity.
5. Platform Use: Artists

Artists may create profiles, upload setlists, list performances, stream or host digital engagements, accept song requests and receive tips/payments.

Artists must not upload or share Content that infringes third-party rights, is obscene, defamatory, hateful, pornographic, abusive, unlawful, or promotes violence.

Artists must honour confirmed bookings and requests in accordance with the relevant booking terms. Failure to perform may result in penalties, account suspension, or other remedies.

Artists shall obtain all necessary rights, licences and clearances for musical works, public performance rights, neighbouring rights and other intellectual property necessary for live or recorded performance (for example licenses from IPRS, PPL or other relevant collective management organisations).
6. Platform Use: Audience

Audience Users may browse Artist profiles, request songs, send dedications, buy tickets, make bookings and provide digital tips.

Misuse of chat, request or tipping features to harass, stalk, defraud, manipulate or spam Artists or other Users is prohibited.

Payments once processed are non-refundable except as expressly provided in the Platform policies or applicable event ticketing/refund rules.
7. Payments, Fees and Settlements

Transactions on the Platform are processed using secure third-party payment gateways (cards, UPI, wallets and other methods). Uplauz may act as a facilitator or payment aggregator depending on the arrangement.

Tips, request fees and ticket revenue received on the Platform are credited to the respective Artist account after deduction of Uplauz service fees and applicable taxes.

Uplauz is not liable for delays or failures in payment settlements caused by payment processors, banks, or external networks.

All payments are subject to Indian tax laws, including GST and TDS where applicable. Artists are responsible for their tax compliance. Uplauz may deduct or withhold taxes, file statements or issue tax documents as required by law. (See Section on Taxes.)
8. Intellectual Property

The Platform, including its software, designs, trademarks, logos and content provided by Uplauz, are the exclusive property of Uplauz.

Artists and Users retain ownership in Content they create but grant Uplauz a non-exclusive, worldwide, royalty-free, transferable, sub-licensable licence to host, stream, display, reproduce and promote such content on the Platform and for related marketing activities.

Users must not copy, modify, reproduce, create derivative works, publish or redistribute Platform Content without prior written permission.

If you believe your copyright is infringed on the Platform please follow our takedown and grievance procedure (see Grievance & Notice section).
9. Events, Venues and Third-Party Interactions

Where Users attend or perform at Uplauz-enabled events they must follow venue rules and applicable local laws.

Uplauz is a technology provider unless expressly identified as the event organiser. Event organisers or venues remain primarily responsible for venue safety, local licences, crowd control and statutory compliance (for example public performance licences under the Copyright Act).

Organisers must procure any necessary venue licenses and permissions including public performance rights, permissions for audio/video recording, and other statutory approvals.
10. Community Standards and Prohibited Conduct

Harassment, discrimination, hate speech, threats, impersonation, fraudulent activity or other abusive conduct are strictly prohibited. Uplauz may suspend or terminate accounts engaging in such conduct.

Manipulation of ratings, fake tipping, multiple accounts created to gain unfair advantage or otherwise misrepresenting identity is prohibited.
11. Content Moderation and Takedown

Uplauz monitors the Platform and may remove Content that violates these Terms or applicable law.

For intermediaries, Uplauz follows the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and maintains a grievance redressal mechanism including a designated Grievance Officer whose contact details are available on the Platform. Complaints will be acknowledged and processed in accordance with the timelines set out under applicable rules.
12. Data Protection and Privacy
Uplauz processes Personal Data in accordance with the Digital Personal Data Protection Act, 2023 and applicable rules. Data processing is limited to lawful purposes including account management, payments, fraud prevention, platform safety, analytics and marketing (where consented). Data Principal rights, including rights to access, correction, erasure, and grievance, are recognised and implemented as provided under applicable law.
13. Taxes and Regulatory Compliance
Artists and Users are responsible for ensuring compliance with Indian tax laws including GST and TDS. Uplauz will report and withhold taxes where required under the Income Tax Act, 1961 (for example TDS under Section 194J for professional fees where applicable) and provide necessary tax documentation. Users must provide accurate PAN and KYC information for tax compliance.
14. Disclaimers, Warranties and Indemnity

The Platform is provided on an as-is basis. Uplauz makes no warranties that the Platform will be uninterrupted, error-free or free from security vulnerabilities.

Users warrant that they will comply with these Terms and with applicable laws.

Users agree to indemnify and hold Uplauz harmless from any claims, losses or damages arising from their breach of these Terms, misuse of the Platform, or infringement of third-party rights.
15. Limitation of Liability
To the maximum extent permitted by law Uplauz's aggregate liability to any User for any claim arising out of or relating to these Terms will not exceed the total service fees paid by that User to Uplauz in the preceding three (3) months. Uplauz will not be liable for indirect, incidental, consequential or punitive damages including lost profits and loss of goodwill.
16. Suspension, Termination and Account Settlement

Uplauz may suspend or terminate accounts for violation of these Terms, fraudulent conduct, or by court/regulatory order.

On termination Users lose the right to access the Platform. Stored funds, pending payouts or balances will be settled in accordance with applicable laws and our payout policy.
17. Changes to Terms
Uplauz may amend these Terms at any time. Updated Terms will be posted on the Platform with an updated effective date. Continued use after the effective date constitutes acceptance.
18. Governing Law, Dispute Resolution and Jurisdiction
These Terms are governed by the laws of India. Unless otherwise agreed disputes shall be subject to the exclusive jurisdiction of courts in Shillong, Meghalaya. Optionally parties agree to refer disputes to arbitration in Shillong under the Arbitration and Conciliation Act, 1996.

Additional Notes and Compliance
Statutory and Regulatory Compliance
Uplauz intends to comply with applicable Indian law including but not limited to:
- The Information Technology Act, 2000 and Intermediary Rules 2021 (Intermediary Guidelines).
- The Digital Personal Data Protection Act, 2023 and associated rules.
- The Copyright Act, 1957 and licences for public performance and reproduction (IPRS, PPL and other CMOs).
- The Income Tax Act, 1961 (TDS provisions such as Section 194J where applicable) and GST laws.
- Reserve Bank of India directions and guidelines applicable to payment aggregators, PSPs and payment processing.
- Consumer Protection Act, 2019 and Consumer Protection (E-commerce) Rules for fair trade and grievance redressal.
Performance Rights and Licences
Artists and organisers must obtain licences or clearances for public performance and mechanical reproduction. Depending on the repertoire this may include licences from IPRS, PPL or direct rights holders. Failure to obtain licences may result in legal liability for the Artist and/or Event Organiser.
Payment and Escrow Operations
Where Uplauz handles payment collection, disbursement or payment aggregation it will comply with RBI requirements and the rules that apply to payment aggregators, including KYC, escrow arrangements and record-keeping. The Platform will not store full card data in violation of regulatory standards.
Grievance Redressal and Intermediary Safe Harbour
Uplauz will implement due diligence required to qualify for intermediary exemptions under the IT Act and Intermediary Rules. That includes maintaining grievance officers, prompt takedown of unlawful content and cooperation with lawful directives.
